Beam Global and Volvo CE Announce Partnership to Offer Off-Grid EV Charging Systems with Volvo Electric Construction Equipment

245 Volvo CE Dealer locations in North America can now bundle EV ARC™ transportable charging systems with Volvo compact electric construction machines through the Extended Offer Program

SAN DIEGO, July 26, 2022  — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable products and technologies for electric vehicle (EV) charging, energy storage, energy security and outdoor media, announced a partnership with Volvo Construction Equipment (Volvo CE) that allows Volvo CE’s 245 North American dealer locations to bundle Beam EV ARC™ off-grid charging systems with a purchase of Volvo electric equipment. This joint offering enables construction sites to rapidly deploy EV charging, without the requirement for electrical work, utility grid connections or fossil fuel generators, to power zero-emissions construction equipment that runs on the sun and does not generate a utility bill.

“The construction industry has the opportunity to future-proof its business against noise, carbon emissions regulations and volatile fossil fuel costs by adopting electric machines,” said Beam Global CEO Desmond Wheatley. “By providing our sustainable EV charging systems alongside Volvo’s best-in-class electric machines, we are enabling that transition in the fastest, cleanest and most scalable manner available. We’re proud to partner with Volvo CE in electrifying the construction business.”

Volvo CE currently offers five models of electric machines in North America, the L20 and L25 Electric wheel loaders, and the EC18, ECR18 and ECR25 Electric excavators. Now Volvo dealers can bundle transportable, off-grid solar EV charging systems with electric machine orders. Together, the EV ARC™ and Volvo electric machines produce zero emissions, significantly reduce noise levels and lower energy costs, making them ideal for construction sites where emissions regulations, noise ordinances or the risks of indoor air pollution limit the use of diesel generators and construction equipment.

“The Volvo CE line of zero-emissions construction equipment can now be charged with a zero-emissions energy source provided by the EV ARC. Beam Global shares our vision to electrify mobility worldwide, a critical step towards mitigating climate change and reducing noise and air pollution,” said Ray Gallant, VP Product Management and Productivity at Volvo CE. “The construction industry is ready for an energy transition that reduces emissions and improves machinery’s performance, longevity and usability. We’re committed to an electric future and view Beam Global as a strategic partner on this journey.”

Beam Global’s EV ARC™, the fastest deployed and lowest-cost EV charging system on the market, is the ideal solution for Volvo CE’s electric machines. Compact and easily transportable, the EV ARC™ system can be set up and ready to use in minutes. The EV ARC™ is fully autonomous, meaning it generates, stores and delivers electricity independent of the grid. Whether the project is in a remote nature preserve or a densely populated city with strict zoning rules, the solar-powered EV ARC™ can be deployed without any electrical work or permitting.

The offer is available through the Volvo dealer network, an already trusted partner, giving partners an established convenient single point of contact for purchase. Because the EV ARC™ is part of the Extended Offer Catalog, Volvo Financial Services can be utilized to lease or finance the bundled EV ARC™ and compact electric machines with flexible financing options.

McKinsey & Company estimates that construction is an $11 trillion industry that accounts for 13% of global GDP. The global construction equipment market is projected to grow from $142 billion in 2021 to $224 billion in 2028 according to Fortune Business Insights. The United Nations Environment Programme finds that the buildings and construction industry accounted for 38% of global carbon emissions in 2019. With many governments aiming to achieve net-zero emissions by 2050, electric machinery will become essential. Residential and commercial builders and equipment rental companies are likely to add electric vehicles to their fleets. Federal agencies such as the U.S. Department of the Interior and the U.S. Department of Agriculture already use electric machines in remote, environmentally sensitive areas.

Beam Global Awarded New State of California Contract for Rapidly Deployed Sustainable EV Charging Infrastructure Products

SAN DIEGO, June 29, 2022 — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable products and technologies for electric vehicle (EV) charging, energy storage, energy security and outdoor media, announced that the State of California has awarded contract #1-22-61-16 to supply EV ARC™ sustainable EV charging systems through the Department of General Services (DGS) to Beam Global. California state, local and municipal government entities, and government entities in other U.S. states, can purchase Beam products at the California negotiated price, without having to go through a lengthy procurement or technology review process. The award is effective June 24, 2022 through June 23, 2025 and is eligible for renewal through June 23, 2027.

Use of the DGS contract is mandatory for all State of California Departments and is available for use by local California governmental agencies. The state has opened this purchasing vehicle to government entities in all 50 states that elect to use the California contract to buy Beam’s rapidly deployed solar-powered EV charging systems at the same volume price offered to the State of California. The contract includes several configurations of the EV ARC™ 2020, EV ARC™ DC Fast Charging system, the ARC Mobility™ trailer and emergency preparedness accessories. This represents an expansion over previous California contracts to include more Beam Global products than were available on previously awarded contracts.

Off-grid and solar-powered, each EV ARC™ 2020 generates and stores its own electricity, then delivers that energy to power any quality brand level 2 EV charger. Transportable yet permanent, it fits in a standard parking spot without reducing available parking and can charge up to 6 vehicles simultaneously. The ARC Mobility™ trailer is a specialized hydraulic transportation system which enables a single operator to easily relocate EV ARC™ 2020 systems. The EV ARC™ DC Fast Charging system enables DC fast charging in locations with insufficient circuity, no grid connection or excessive upgrade or power costs. The contract includes Beam’s emergency power solutions which provide a secure and reliable source of electricity for EV charging and first responders during natural disasters or other periods of utility grid interruption.

“This new contract with California is at once a powerful validation of our products which the state has been using for many years and also a strong indication of California’s commitment to electrifying transportation and using rapidly deployed, sustainable and robust charging infrastructure products that are made in the U.S. to fuel this new generation of vehicles,” said Beam Global CEO Desmond Wheatley. “Consumers, companies and governments are adopting EVs at a faster rate than ever and yet we are still just at the beginning of this massive shift. The need for EV charging infrastructure is becoming greater and more urgent every day. Our ability to rapidly scale and deploy EV chargers without construction or electrical work and without utility bills, grid capacity constraints or vulnerability to black-outs, is becoming increasingly recognized as vital to the success of this evolution. We are busier than ever but we’re planning on getting a lot more busy.”

California Governor Gavin Newsom presented a $286.4 billion budget proposal, dubbed the “California Blueprint,” in January. The plan suggests spending $22.5 billion to address the burgeoning climate crisis in the state, allocating $6.1 billion to electric vehicle related initiatives. California also became the first state to commit to effectively banning sales of new, internal combustion engine or gas-powered vehicles by 2035. President Biden signed Executive Order 14008 and subsequent Executive Order 14057 with its accompanying Federal Sustainability Plan which calls for 100% Zero-Emission Vehicle Acquisitions by 2035, including 100% light-duty acquisitions by 2027. The bipartisan Infrastructure Investments and Jobs Act (IIJA) authorized $7.5 billion to build out a national EV charging network of 500,000 chargers.

California and other state, local and municipal entities can purchase from DGS contract #1-22-61-16, and federal agencies can purchase from GSA Contract Number 47QSWA21D0006. Both contracts serve to simplify the government procurement process and make chosen solutions available at the best negotiated pricing. Beam Global Hits Record First Quarter Deliveries and the Second Biggest Quarter in Company History

SAN DIEGO, May 03, 2022  — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable products and technologies for electric vehicle (EV) charging, energy storage, energy security and outdoor media, announced the highest number of system deliveries in the first quarter of any year in the company’s history. Q1 was also the second biggest quarter for deliveries in Beam’s history following the record fourth quarter 2021.

“Q1 has historically been a slower quarter for us but not this year. The momentum we built in 2021 continues with a first quarter record start in deliveries for Beam Global,” said Desmond Wheatley, CEO of Beam Global. “The 2021 historic highs in new orders set the pace for record revenue and deliveries in 2021 but also, importantly, enabled us to continue that pace and deliver record results in the first quarter of 2022 as our investments in sales, operations and manufacturing deliver returns. With pipeline also at a new high, we see no sign of this abating, boding well for continued momentum and growth for the year.”

Beam Global Awarded Federal Blanket Purchase Agreement (BPA) for Electric Vehicle Charging Infrastructure

April 27, 2022

Beam Global Awarded Federal Blanket Purchase Agreement (BPA) for Electric Vehicle Charging Infrastructure

Program aims to accelerate the electrification of the federal fleet by making EV charging solutions easier to purchase

SAN DIEGO, April 27, 2022 — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable products and technologies for electric vehicle (EV) charging, energy storage, energy security and outdoor media, today announced the U.S. General Services Administration (GSA) Office of Fleet Management awarded Beam Global a Federal Blanket Purchase Agreement (BPA) for Electric Vehicle Supply Equipment (EVSE) and Ancillary Services. The award provides federal agencies and organizations a streamlined procurement process to purchase EV ARC™ sustainable EV charging systems in support of the government’s initiative for the electrification of the federal vehicle fleet. Beam Global was previously also awarded GSA Multiple Award Schedule (MAS) Contract Number 47QSWA21D0006.

On February 10, 2022 the Federal Highway Administration published the National Electric Vehicle Infrastructure (NEVI) Formula Program Guidance. The front cover of the guidance document which provides funding eligibilities, and program guidance for implementation of historic investments in electric vehicle (EV) charging infrastructure, uses a photograph of Beam Global’s products fast charging an EV in a California rest stop. There are no other photographs in the document. Some in government are calling for at least 25% of all EV charging stations to be supplied by locally generated and stored electricity which continues to operate during grid failures.

The federal fleet is comprised of approximately 657,500 vehicles. Last year President Biden signed Executive Order 14008 and subsequent Executive Order 14057 with its accompanying Federal Sustainability Plan which calls for 100% Zero-Emission Vehicle Acquisitions by 2035, including 100% light-duty acquisitions by 2027. This will prioritize and accelerate a Federal Clean Electricity and Vehicle Procurement Strategy, calling for clean and zero emissions vehicles (ZEVs) for federal, state, local and tribal government fleets, including vehicles of the United States Postal Service.

“Our made in America products are rapidly deployed without construction or electrical work. They are highly scalable, clean and sustainable, and provide a source of fuel and emergency power during utility grid failures and without a utility bill. They are also ideal for providing EV charging in highway corridor locations where grid availability might be scarce,” said Desmond Wheatley, CEO of Beam Global. “We offer the U.S. federal government the fastest route to hitting its laudable and ambitious EV charging infrastructure goals. It makes perfect sense that we have been awarded this new contract and that we are on the front cover of the NEVI guidance document.”

Transportation accounts for roughly 29% of U.S. greenhouse gas emissions (GHG) or approximately 6,558 million metric tons of CO2 equivalent. The federal fleet’s approximately 657,500 vehicles generated an estimated 3.4 million metric tons of GHG emissions. This program presents the perfect opportunity for the federal government to lead by example in reducing greenhouse gas (GHG) emissions by moving to a zero-emission fleet.

Beam Global Deploys EV ARC™ Sustainable EV Charging for City of Costa Mesa CA

March 17, 2022

Beam Global Deploys EV ARC™ Sustainable EV Charging for City of Costa Mesa CA

SAN DIEGO, March 17, 2022  — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative, sustainable products and technologies for electric vehicle (EV) charging, energy storage, energy security and outdoor media, today announced that the City of Costa Mesa in Orange County California has deployed an EV ARC™ solar-powered EV charging system to charge the Senior Center electric shuttle bus and other City fleet electric vehicles. The system was purchased through the California Department of General Services (DGS) Contract #1-18-61-16, which serves to simplify the government procurement process and make chosen solutions available statewide at the best negotiated pricing.

The City of Costa Mesa’s EV ARC™ charging system fits in a standard parking space and is equipped with a dual port ClipperCreek brand charger capable of charging two vehicles simultaneously. The solar-powered EV ARC™ system generates and stores its own clean electricity and delivers that electricity to power City EVs day or night, and during inclement weather and power outages. Off grid, flood proof to 9.5 feet and wind-rated to 125 mph, the product adds to the City’s energy resiliency and disaster preparedness. The charging system is transportable and can be relocated as City charging patterns emerge and change.

“The City of Costa Mesa continues to make excellent progress in our sustainability initiatives,” said Salem Afeworki, Energy and Sustainability Services Manager at the City of San Diego. “The EV ARC solar EV charging station deployed at the Senior Center provides clean energy to our electric shuttle bus for a zero emissions transportation option.”

The EV ARC system was deployed at the City of Costa Mesa’s Senior Center (view video). Requiring no connection to the utility grid, Beam Global products eliminate disruptive construction projects, costly electric circuit upgrades and utility charges to deliver significant long-term savings to city budgets.

“The City of Costa Mesa is demonstrating that EV ARC systems aren’t just good for sedans but can fuel transit as well,” said Beam Global CEO Desmond Wheatley. “With the lower total cost of ownership of electric vehicles now a broadly accepted fact, fleet electrification is being prioritized by federal, state and local governments as well as a growing number of commercial and enterprise operators. Skyrocketing gas prices due to current geo-political developments are only increasing the urgency. The EV ARC is powered 100% by the sun with no grid connection to achieve zero emissions transportation.”

California Governor Gavin Newsom’s commitments to fast-track progress toward environmental goals includes $2 billion over four years in dedicated funding to zero-emission infrastructure, vehicles and equipment. This proposal follows the September 2020 mandate banning the sale of new gasoline and diesel vehicles in the state by 2035. The need for more sustainable EV charging infrastructure is also gaining traction at the national level, with President Biden announcing $7.5 billion for EV charging infrastructure.

Beam Global Announces Strategic Acquisition of AllCell Technologies, a Leader in Energy Storage Solutions

Strategic acquisition increases and diversifies Beam’s revenue, gross profitability, manufacturing capabilities, intellectual property portfolio and customer base

SAN DIEGO, Feb. 23, 2022  — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable technology for electric vehicle (EV) charging, outdoor media and energy security, today announced that it has entered into a definitive asset purchase agreement to acquire AllCell Technologies, a leader in energy storage solutions and technologies, in an all stock transaction. The transaction is expected to close on March 1st, subject to customary closing conditions. Beam will host an investor call to discuss the transaction on March 1, 2022 at 1:30pm PT / 4:30pm ET. A recorded video interview with Beam CEO, Desmond Wheatley, discussing the deal is currently live on the Beam blog.

Management expects the acquisition of AllCell to impact Beam Global by:

  • Increasing and diversifying revenues and gross profits
  • Significantly reducing cost of goods sold (COGS)
  • Enhancing foundational intellectual property portfolio
  • Securing Beam Global’s vital battery supply chain
  • Accelerating product development cycles
  • Combining customer facing roles and outreach
  • Adding new customer segments
  • Increasing barriers to entry for future competition
  • Enhancing Beam’s position as a leader in the green economy

AllCell’s highly flexible battery platform architecture, used in Beam’s products for ten years, is ideally suited for applications where energy density, safety and bespoke enclosures require high power in small spaces. Drones, submersibles, recreational products and a host of micro mobility and electric vehicle products are already benefiting from AllCell’s highly differentiated products. Beam’s patented EV Standard™ and UAV ARC™ will require battery pack formats which are optimized for each product’s unique attributes. The acquisition of AllCell will allow for these developments at an accelerated pace with significantly reduced costs. Energy storage is crucial to Beam Global’s value proposition and battery systems currently account for approximately 30% of Beam Global products’ bills of materials. The strategic acquisition of AllCell will significantly reduce COGS through margin recapture and value engineering. Management anticipates an approximate 7% reduction in material costs in the near term as a result of margin recapture followed by increasing reductions in COGS as the Beam Global and AllCell engineering teams together identify further opportunities for improvements.

“This acquisition deepens and widens the moat around our first-to-market leadership position in several rapidly growing and very large markets,” said Beam Global CEO Desmond Wheatley. “AllCell brings a team comprised of some of the energy storage industry’s finest scientists, engineers and operations and manufacturing leaders. Combining our companies will enable each of us to do what we do better while taking advantage of the tremendous growth opportunities through cross selling, increased market penetration and leveraged cost structures. On a personal note, I have tremendous respect for the entire team at AllCell as they have been one of our main suppliers and partners. We look forward very much to working with them as one team.”

“Sustainability, safety and high power are the cornerstones of the technology and IP portfolio we’ve developed at AllCell. Success to us is solving the complex challenge that joins longer battery life, more efficient materials use and higher energy density—all while improving safety,” said Said Al-Hallaj, Co-Founder and Chief Battery Scientist at AllCell Technologies. “We are thrilled to join the Beam Global mission. We see the leadership and powerful momentum they have built in the new electric age as a tremendous asset.”

As a result of the all-stock structure of the acquisition, Beam Global’s strong cash balance will continue to be utilized for further growth and strategic initiatives. In consideration for the sale of AllCell assets, the AllCell shareholders will receive 1,055,000 shares of Beam Global restricted common stock at closing. Beam Global’s existing shareholders will own 90.3% upon closing of the acquisition and Beam Global will retain operational and board control of the company. The AllCell shareholders may also receive additional restricted shares of common stock, through an earn-out, valued at two times any revenues and contracted backlog, generated from the AllCell assets, that are greater than $7.5M in 2022, and on any AllCell 2023 revenue over $13.5M or 135% of 2022 revenue, whichever is greater, and capped at $20M in revenues. Any revenue from AllCell products used in Beam Global’s core product portfolio are excluded from the earn-out calculation. Beam Global will issue AllCell shareholders restricted shares for both the closing consideration and any earn-out payments. In the event of the lifting of restrictions on the Beam Global common stock issued to AllCell, the purchase agreement provides that AllCell will limit any sale of such shares to no more than four percent (4%) of the average weekly volume during such trading week.

“As AllCell’s largest shareholder, we believe the strategic combination of Beam Global and AllCell creates a powerful organization at the beginning of this massive transportation and electrification shift,” said Townsend Capital Chairman, Dennis Townsend. “As a result of this powerful combination, we have decided to roll 100% of our equity into Beam Global. We are looking forward to putting our decades of experience to work and staying engaged to help grow a renewable energy and energy storage power-house.”

Beam Global’s commitment to developing products and solutions which will bring Clean Mobility to All is shared by AllCell. Both companies have been providing clean energy solutions to multiple modes of the electric transportation sector throughout their histories. Beam Global and AllCell have, separately, provided charging and high-powered energy storage solutions to micro-mobility, land based EVs, aviation, maritime and recreational customers as well as stationery and energy-security platforms, for both government and Fortune 100 companies. Management believes that the strategic business combination will create an unbeatable platform of energy generation and storage which will agnostically enable charging companies, vehicle manufacturers, energy security providers and the many other applications driven by the increasing push to an electrified and untethered world.

Beam Global’s corporate headquarters and factory will remain at its 53,000 square foot facility in San Diego, California. The AllCell team and manufacturing facility will remain in Broadview, Illinois. The Beam and AllCell teams intend to integrate rapidly and explore an expansion of battery manufacturing in California where there are significant government incentives to do so. Management will also consider an expansion of Beam Global’s product manufacturing in the Midwest. The AllCell team brings to Beam world-renowned Chief Battery Scientist Said Al-Hallaj as well as deep engineering and manufacturing experience from Argonne National Laboratory, Ford Motor Company, Stellantis, Johnson Controls, AVL Powertrain and the Illinois Institute of Technology.

Beam Global’s acquisition of AllCell combines two U.S.-based clean technology innovators and manufacturers into a stronger, more globally competitive company in clean technology innovation. Producing Made-In-America IP and products, creating clean technology jobs for Americans and focusing on a cleaner more sustainable future, the transaction contributes to progress as the U.S. rebuilds its manufacturing foundation and leadership in energy and transportation.

City of Lompoc CA Deploys Beam Global EV ARC™ Off-Grid EV Charging Systems for City Fleet Electrification Initiative

February 15, 2022

City of Lompoc CA Deploys Beam Global EV ARC™ Off-Grid EV Charging Systems for City Fleet Electrification Initiative

SAN DIEGO, Feb. 15, 2022 — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable technology for electric vehicle (EV) charging, outdoor media and energy security, announced that the City of Lompoc in California has deployed two EV ARC™ solar-powered EV charging systems available for public use. The systems were partially funded by the Santa Barbara County Air Pollution Control District’s Clean Air Grants for Infrastructure program and were purchased through the California Contract #1-18-61-16 which simplifies the procurement process and ensures best pricing.

The City’s EV ARC™ systems are located at the Lompoc Valley Medical Center (LVMC) parking lot, located at 1515 East Ocean Ave, and fit in a standard parking space without reducing available parking. Each system has two charging plugs to provide public access to charge up to four EVs. Each EV ARC™ system generates and stores its own clean electricity and delivers that electricity to power EVs, day or night, and during inclement weather and power outages. The transportable but permanent units include the Emergency Power Panel option for first responder use during grid outages and shutdowns.

“By offering high-tech, off-grid solutions for electric vehicle charging like the EV ARC, cities like Lompoc can help minimize our impact on the electric grid,” said Lompoc Mayor Jenelle Osborne. “I hope we see more cities and communities begin to adopt similar clean, renewable energy technologies in the years to come.”

Requiring no connection to the utility grid, Beam Global products eliminate disruptive construction projects, costly electric circuit upgrades and utility charges to deliver significant long-term savings to city budgets. Because there is no grid connection, EV charging systems are rapidly deployed, readily relocated and can be placed in locations where they are needed most.

“We are seeing more and more customers view rapid deployment and grid-impact as important when planning their EV charging infrastructure,” said Beam Global CEO Desmond Wheatley. “Federal, state and local governments are putting increasing emphasis on resilient EV charging as electricity becomes vital fuel for their communities and their fleet vehicles.”

In January California Governor Gavin Newsom outlined an historic $10 billion zero-emission vehicle (ZEV) package to accelerate the transition to zero-emission vehicles and fight climate change. This package is a critical part of Governor Newsom’s vision to forge an oil-free future. This $10 billion ZEV package builds on the State’s action to shift sales of new vehicles entirely to all electric by 2035, utilizing California’s leadership to accelerate the transition to zero-emission vehicles and dramatically reduce reliance on fossil fuels.
