Zevtron and Chauntry Partner to Offer Groundbreaking

EV Reservations Platform for Airports

Carlsbad, CA (April 2, 2024)—Zevtron, the innovative smart EV charging software and hardware solutions provider, and Chauntry, the parking reservations leader, today announced a partnership to enhance airport EV charging services. This innovative solution leverages Zevtron’s industry-leading smart EV charging software within the existing Chauntry Parkspace reservation system, enabling EV drivers to effortlessly reserve charging stations before their flights. Unlike other EV charging reservations platforms, Parkspace utilizes Zevtron’s industry-leading smart EV charging software, which allows airports to monetize EV charging, keeping all the revenue generating by charging infrastructure.

“This is an important breakthrough for airports,” said Bob Andrews, founder of Zevtron. “Now airports can retain total control over the EV assets for which they are offering prebooking. It’s no longer necessary for airports to cede control over EV charging to closed technology providers if they want to offer EV reservations. Not only will this improve airport EV services, but it will also open up new revenue streams.”

Airports can add EV charging to their existing Chauntry Parkspace portals or, if they don’t yet offer parking prebooking, they can partner with Chauntry to launch Parkspace with EV charging.

“As airports have rebounded from the pandemic, parking prebooking has become essential for improving the travel experience,” said Theresa Hughes, managing director of Chauntry. “Now, the same limited inventory challenges that make parking prebooking necessary are presented by EV charging. If you’re driving an EV to catch a flight, the last thing you need is to arrive at the airport, only to find that there are no EV chargers available. Now, airports can remove travelers’ uncertainty over whether they’ll be able to charge their EV, and the anxiety that uncertainty can cause.”

Reserving EV charging with Parkspace is simple. When flyers log into the airport’s parking portal to reserve a parking space, there will be an option to reserve charger space as well. It’s simply a matter of clicking the EV button. Then, when they arrive at the airport parking facility, they merely drive to their EV charging station, scan the code provided by the prebooking platform, and begin charging. When they return from their trip, their account will automatically be debited for both charging and the parking session. For flyers who are taking longer trips, the platform can be integrated with valet services, and the vehicle can be moved to a regular parking area when it’s fully charged.

Charging is powered by Zevtron’s industry-leading smart charging software. The software provides airports complete control over their charging stations and allowing them to collect and keep all the revues generated by EV charging.

Government funding awarded to project to prove EVs are assets to the grid

  • The project, led by 3ti, will demonstrate that EVs plugged in at workplaces, leisure destinations, fleet depots and delivery hubs can help balance peaks in electricity supply and demand
  • Innovative ‘V2X FastHub’ will be based on 3ti’s award-winning Papilio3 pop-up mini solar car park and EV charging hub, which can be rapidly deployed in under 24 hours
  • Final phase of the project includes a six-month real-world trial using fleet of 10+ EVs as grid assets
  • Project’s DC microgrid design is significantly more cost- and energy-efficient than bi-directional AC systems, making vehicle-to-everything (V2X) energy management commercially viable in the near term and accelerating decarbonisation and net-zero goals

Leatherhead, 20 December 2023 – A consortium of British companies has secured £1,344,552 in government funding to explore how electricity stored in electric vehicle (EV) batteries can be used to smooth out peaks in supply and demand on the UK’s electricity grid. 3ti, the UK’s leading designer, installer, funder and operator of solar car parks (SCPs), is leading the new project funded by the Department for Energy Security and Net Zero, delivered by Innovate UK. The project is setting out to integrate bi-directional DC charging and the associated power management systems into Papilio3, a pop-up solar car park and EV charging hub. The ‘V2X FastHub’ project will be a watershed moment for future energy security, providing a clear pathway to help resolve the issue of intermittent supply from renewables by using EV batteries as grid assets.

The project consortium brings together renewable energy experts 3ti with advanced EV power solutions provider Turbo Power Systems (TPS), smart energy company GridBeyond, and EV & decarbonisation experts Cenex, in a 17-month collaboration to deliver a state-of-the art system, including a six-month real-world demonstration.

3ti will lead the project, delivering a customised Papilio3 with smart grid controls and a 280 kWh DC battery. TPS will harness its DC microgrid systems, managing the bi-directional charging technology through both CCS and CHAdeMO EV charge points, while GridBeyond will oversee energy management and aggregation services through its flexible Energy Management System (EMS). Cenex will host the vehicle trial, which will include the procurement of the trial vehicle fleet, data capture, analysis and final report to Innovate UK.

Specially adapted as a V2X FastHub unit for the project, 3ti’s innovative Papilio3 is a smart grid ‘in-a-box’ that can host up to 12 EVs at a time, housed within an upcycled, rapidly deployable shipping container that can be placed almost anywhere. With a solar canopy and energy storage battery, the system has already delivered in a range of applications for factories, hospitals, leisure centres and council buildings across the UK. For this particular application, Papilio3 will implement a new DC microgrid system – integrating three times faster, bi-directional DC EV charge points with a 280 kWh integral battery storage system and 20 kWp solar roof array.

Through a ‘charge-as-a-service’ business rental model, the unit simplifies installation and reduces up-front costs – or the need for long-term commitment. The result is a commercially attractive, replicable and scalable EV charging solution for a multitude of organisations, including medium dwell-time workplaces, destinations, return-to-base fleets and delivery depots. The provision of EV charging at amenity and business locations maximises revenue generation and enables the faster roll-out of EV charging while simultaneously reducing the burden on carbon-intense rapid charging infrastructure.

Mark Potter, CTO at 3ti, said, “Everybody wants more EVs on the grid. They represent a massive scale, distributed energy resource that can be used to balance real-time supply and demand. This project will prove that bi-directional EV charging can work in the real world. Connected EVs will be teamed together to act as virtual power and energy storage facilities, with each car releasing and replenishing its stored energy according to user preferences and grid demand. This generates income and cost savings, which can be passed on to our customers.”

Smart Microgrids support a more sustainable and reliable energy transition, helping the UK meet its Net Zero and Energy Security targets. This project will be the first in the world to trial a 12 charge point DC Smart Microgrid for CCS V2X based on ISO15118-20, published in April 2022. Each charge point will also support CHAdeMO for compatibility with existing vehicles. This innovative set-up will provide faster, bi-directional EV charging at speeds up to ±30 kW, with much higher power and round-trip energy efficiency than AC solutions.

Potter continues, “Being able to recharge at 30 kW is critical to success in this market. In destination charging, most EVs will only charge at 7 or 11 kW using AC, even if the charge point is rated at 22 kW. Being able to charge at 30 kW regardless of vehicle limitations makes more energy available for V2X export without impacting the overall net charge.

“With DC microgrid V2X, meaningful energy and power levels can make it worthwhile to the asset owners, also offering up to 95% round-trip efficiency – compared to typically 60-70% in the AC domain. The key to unlocking V2X value is having lower OpEx and CapEx, and this project will deliver both.

Dr. Matthew Knight, Principal Technical Specialist at Cenex, said, “With almost a decade of experience in developing V2X technology, Cenex is excited to bring a novel concept to life in this space. We’re creating pre-fabricated hub solutions that integrate renewable generation, energy storage, and the latest bidirectional EV charging technology to maximise energy use and value while reducing emissions.

“In this project, our role as a Research & Technology Organisation involves running a technology demonstration, focus group workshops, trial data collection, technical analysis and business case modelling. Thereby embodying our commitment to identifying and evaluating solutions that drive both the commercial and technical viability of V2X through public dissemination in the multitude of forms Cenex is renowned for.”

Micheal Phelan, CEO at GridBeyond, said, “GridBeyond are delighted to be participating in this innovative, ground breaking project which will help demonstrate the potential of vehicle to grid technology and how it can help support a low carbon grid of the future. We are excited to be working alongside key stakeholders and partners to bring all our expertise together for future market insight

Dr Nigel Jakeman, Engineering and Business Development Director at Turbo Power Systems, said:  “It’s both gratifying and exciting to see the world first advanced EV charging technology we have developed on the back of our 40 plus years at the forefront of power solutions, being used within a partnership of true innovators to create a system which will play a pivotal role in decarbonisation and solving climate change, one of the biggest threats our planet faces today.”

The V2X FastHub project, part of the V2X Innovation Programme, is funded by the Department for Energy Security and Net Zero, delivered by Innovate UK. The V2X Innovation Programme is part of the up to £65m Flexibility Innovation Programme, funded from the £1 billion Net Zero Innovation Portfolio.

EVgo Receives First Shipment of Build America, Buy America 350kW High-Power Fast Chargers from Delta Electronics

EVgo and Delta’s shared commitment to onshoring the supply chain for high-power DC fast charging resulted in expedited delivery of National Electric Vehicle Infrastructure-eligible equipment

LOS ANGELES—-EVgo Inc. (NASDAQ: EVGO) (“EVgo” or the “Company”), one of the nation’s largest public fast charging networks for electric vehicles (EVs), today announced that it received the first-ever shipment of 350kW fast chargers from Delta Electronics that are manufactured according to Build America, Buy America Act (BABA) standards. Delivered from Delta Electronics’ recently opened factory in Plano, Texas, this first shipment marks a milestone in developing the robust domestic supply chain needed to support the rapid growth in EV adoption across the U.S. and unlock funding through the National Electric Vehicle Infrastructure (NEVI) Formula Program. Delta has delivered 10 chargers to date, and EVgo expects to receive additional 350kW BABA-compliant chargers from Delta Electronics later this year.

Through close collaboration, EVgo and Delta accelerated the manufacturing timeline for the domestically produced 350kW fast charger, resulting in the first delivery months ahead of the originally scheduled date. The Bipartisan Infrastructure Law, signed into law by President Biden in 2021, created $7.5 billion in funding for EV charging stations. This 350kW equipment is manufactured to meet BABA standards issued by the Federal Highway Administration, which is required for any charging stations that receive federal funding. To date, EVgo and its eXtend partners have been selected for millions in preliminary awards from NEVI programs in Ohio, Colorado, and Pennsylvania.

“As states award their initial round of NEVI funding, the arrival of EVgo’s first batch of BABA fast chargers—with incredible speed for onshoring—signals both a tremendous moment for domestic charger manufacturing and for additional public funding opportunities as more states announce their awards,” said Dennis Kish, COO of EVgo. “EVgo and Delta share a commitment to developing a resilient supply chain here in America, and this collaboration showcases the companies’ capability to deliver the high-quality, high-power fast chargers we need to meet the growing demand for fast charging across the country.”

“We are very pleased with our close cooperation with EVgo and are proud that we have achieved our commitment faster than expected,” said Kelvin Huang, President of Delta Electronics Americas Region. “Our Plano facility’s successful deployment of the BABA-compliant 350kW EV charger serves as a testament to our proficiency in meeting customers’ requirements through local assembly. Our collective efforts will not only accelerate the expansion of fast charging across the nation but also contribute significantly to the realization of a sustainable society, a core objective Delta ardently strives for.”

In addition to its work to onshore its supply chain, EVgo is also actively working with its suppliers to help ensure future chargers will integrate the North American Charging Standard (NACS), which is currently making its way through standards bodies.

Beam Global Executes Binding LOI to Acquire Europe Based Amiga, Announces Proposed Public Offering of Common Stock and Announces Q2 Revenue and Unit Guidance

The planned accretive transaction is intended to expand Beam Global’s business into the European market and increase Beam Global’s production, engineering, sales and product development expertise

  • Acquisition expected to increase and diversify revenues and gross profits
  • Amiga recorded revenue of over EUR 8.5M in 2022
  • Expected to enhance Beam Global’s manufacturing and engineering capabilities
  • Expected to accelerate the development of our EV Standard™ and other products both in the European and U.S. markets
  • Expected to add new customer segments in both the U.S. & Europe

SAN DIEGO  — Beam Global, (Nasdaq: BEEM, BEEMW) (“Beam Global” or the “Company”), a leading provider of innovative sustainable products and technologies for electric vehicle (EV) charging, energy storage, energy security and outdoor media, today announced the execution of a binding Letter of Intent to acquire European based Amiga DOO Kraljevo (“Amiga”), an established manufacturer of specialized structures and equipment, producing street lights, communications and energy infrastructure whose manufacturing, engineering and sales teams serve municipalities, states and commercial customers in 16 nations. The transaction is pending completion of Beam Global’s due diligence, which will include customary closing conditions, and is expected to be finalized in Q3 or Q4 2023.

Additionally, Beam Global today announced that it has commenced an underwritten public offering of shares of its common stock. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering. The offering is not conditioned on the completion of the potential acquisition of Amiga. Maxim Group LLC and Freedom Capital Markets are acting as joint book-runners of the proposed offering.

Q2 Update

Beam Global anticipates our revenue for the three months ended June 30, 2023 to be in a range of $15.5 million to $17.0 million which would be the highest quarterly revenue achieved in the Company’s history. For the three months ended June 30, 2023, we anticipate delivering approximately 195 to 205 ARC™ solar-powered EV charging infrastructure systems as well as continuing to deliver our energy storage solutions to our customers.

About Amiga

Amiga was founded in 1990, has approximately 210 employees and currently has engineering, product development and manufacturing capabilities which Beam Global believes are ideally suited to manufacture and perfect the Company’s current products for the European market. Amiga is one of Europe’s leading manufacturers of streetlights and is strategically positioned to bring Beam Global’s patented EV Standard™ to market both in the European Union (EU) and U.S. We plan to integrate Amiga’s team of qualified engineers with Beam Global’s current team which we expect will provide a valuable enhancement and acceleration of product development cycles and reduce the requirement for Beam Global to add engineering headcount in the U.S. Pending the closing of the transaction, Amiga will be rebranded Beam EU.

According to financial statements provided to Beam Global by Amiga, Amiga generated over EUR 8.5M in revenue in 2022 and had gross profit during that period. Beam Global expects the acquisition to be accretive based on a revenue multiple with expected additional operating synergies.

Since 1990 Amiga has been selling to municipalities, states and commercial customers. Amiga’s customer profile is very similar to Beam Global’s current customers and we intend to use Amiga’s existing customer list as an initial prospecting list as we introduce Beam Global’s products to the European market. We plan to integrate Amiga’s sales and marketing team with Beam Global’s and the Company intends to add EV charging infrastructure sales expertise in Europe.

“We have spent over 30 years building credibility and solid relationships with government and commercial customers in sixteen nations internationally. Many of our customers are repeat customers. Becoming part of Beam Global will allow us to market the latest renewably energized EV charging infrastructure products to our existing customers while opening up an entirely new set of opportunities for us. We have the engineering and operational capabilities to fabricate Beam products and a long list of prospects to market them to,” said Ivan Tlacinac, Amiga CEO and owner. “I am excited by the prospect of combining our engineering team with their talent in San Diego and Chicago so that we can rapidly introduced Beam’s existing and contemplated products like the EV Standard™ to the European and surrounding regions. There is a great deal of appetite for EV charging infrastructure, renewable energy and energy security in Europe at the moment and Beam’s products provide all three. I am thrilled that we will soon be capitalizing on this opportunity as part of the growing Beam Global family.”

Strategic Rationale for the Acquisition of Amiga

Beam Global believes that the acquisition of Amiga fast tracks its growth into the European market. This market offers excellent opportunities for our off-grid, zero construction or electrical work products because:

  • the EU has mandated a transition to zero emission vehicles by 2035;
  • the EU is heavily focused on green and sustainable energy;
  • the war in Ukraine has focused the EU on energy security and home-grown renewable sources; and
  • the historic aging of streets and infrastructure make it more complicated to deploy grid tied EV charging solutions than is the case in much of the United States

We believe that Beam Global’s suite of products are ideally suited for deployments where the above bulleted conditions exist because they require no construction or electrical work, are renewably energized and do not rely on the utility grid for electricity. We believe the acquisition will also increase barriers to entry for future competition and advance Beam Global’s position as a leader in the green economy.

“We have long believed that the European market offers significant opportunities for Beam Global expansion. The automotive market is larger than China or the U.S. and Europe’s commitment to sustainability, electrification and renewable energy is active both at the government and commercial levels,” said CEO of Beam Global Desmond Wheatley. “We believe that Amiga is a perfect fit for us because they have all of the skills, capabilities and factory facilities required to make our products through the IP that we control. Since 1990 Amiga has been selling to the same customer profile we have successfully targeted in the U.S., which we believe will give us immediate credibility and access to qualified prospects in 16 countries internationally. Amiga’s engineering and production teams are well suited to develop and produce our patented EV Standard product which I believe may be our biggest seller in both the U.S. and Europe. We have been working to find an opportunity like this for a long time and I am thrilled at the prospect of expanding our business into markets which could arguably be larger than the U.S. where we are currently experiencing dramatic organic growth. We are putting the “global” in Beam Global.”

According to Whichcar.com, Europe has approximately 405 million cars compared to approximately 290 million in the U.S. and 319 million in China according to CEIC data. In June of 2022, the European Parliament backed the European Commission’s proposal of zero emissions from new cars and vans by 2035. Beam Global views expansion into the European market as a major opportunity for growth.

Key Transaction Terms

Subject to completion of due diligence, including completion and review of an audit of Amiga’s financial statements under U.S. GAAP, Beam Global is expected to acquire Amiga for EUR 10M of initial consideration splits as follows: (i) EUR 7M of cash of which EUR 4.5M will be paid at closing and an additional EUR 2.5M paid on Dec. 31, 2023 and (ii) EUR 3M in Beam Global’s stock distributed in the same proportions and timing as the cash payments.

The transaction also includes performance based earn-outs which would be distributed to Amiga shareholders based as follows: (i) 2023 earn-out paid in Beam Global’s stock based on 2x the euro value of revenue above EUR 10M and (ii) 2024 earn-out paid in Beam Global’s stock based on 2x the euro value of revenue above the greater of EUR 13.5M or 135% of 2023 revenue.

As part of the consideration paid for Amiga, Beam Global will be receiving buildings and land independently valued at EUR 7M as well as plant and equipment independently valued at EUR 6M of replacement value.
