Beam Global Announces Strategic Acquisition of AllCell Technologies, a Leader in Energy Storage Solutions

Strategic acquisition increases and diversifies Beam’s revenue, gross profitability, manufacturing capabilities, intellectual property portfolio and customer base

 

SAN DIEGO, Feb. 23, 2022  — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable technology for electric vehicle (EV) charging, outdoor media and energy security, today announced that it has entered into a definitive asset purchase agreement to acquire AllCell Technologies, a leader in energy storage solutions and technologies, in an all stock transaction. The transaction is expected to close on March 1st, subject to customary closing conditions. Beam will host an investor call to discuss the transaction on March 1, 2022 at 1:30pm PT / 4:30pm ET. Management expects the acquisition of AllCell to impact Beam Global by:

AllCell’s highly flexible battery platform architecture, used in Beam’s products for ten years, is ideally suited for applications where energy density, safety and bespoke enclosures require high power in small spaces. Drones, submersibles, recreational products and a host of micro mobility and electric vehicle products are already benefiting from AllCell’s highly differentiated products. Beam’s patented EV Standard™ and UAV ARC™ will require battery pack formats which are optimized for each product’s unique attributes. The acquisition of AllCell will allow for these developments at an accelerated pace with significantly reduced costs. Energy storage is crucial to Beam Global’s value proposition and battery systems currently account for approximately 30% of Beam Global products’ bills of materials. The strategic acquisition of AllCell will significantly reduce COGS through margin recapture and value engineering. Management anticipates an approximate 7% reduction in material costs in the near term as a result of margin recapture followed by increasing reductions in COGS as the Beam Global and AllCell engineering teams together identify further opportunities for improvements.

As a result of the all-stock structure of the acquisition, Beam Global’s strong cash balance will continue to be utilized for further growth and strategic initiatives. In consideration for the sale of AllCell assets, the AllCell shareholders will receive 1,055,000 shares of Beam Global restricted common stock at closing. Beam Global’s existing shareholders will own 90.3% upon closing of the acquisition and Beam Global will retain operational and board control of the company. The AllCell shareholders may also receive additional restricted shares of common stock, through an earn-out, valued at two times any revenues and contracted backlog, generated from the AllCell assets, that are greater than $7.5M in 2022, and on any AllCell 2023 revenue over $13.5M or 135% of 2022 revenue, whichever is greater, and capped at $20M in revenues. Any revenue from AllCell products used in Beam Global’s core product portfolio are excluded from the earn-out calculation. Beam Global will issue AllCell shareholders restricted shares for both the closing consideration and any earn-out payments. In the event of the lifting of restrictions on the Beam Global common stock issued to AllCell, the purchase agreement provides that AllCell will limit any sale of such shares to no more than four percent (4%) of the average weekly volume during such trading week.

Beam Global’s corporate headquarters and factory will remain at its 53,000 square foot facility in San Diego, California. The AllCell team and manufacturing facility will remain in Broadview, Illinois. The Beam and AllCell teams intend to integrate rapidly and explore an expansion of battery manufacturing in California where there are significant government incentives to do so. Management will also consider an expansion of Beam Global’s product manufacturing in the Midwest. The AllCell team brings to Beam world-renowned Chief Battery Scientist Said Al-Hallaj as well as deep engineering and manufacturing experience from Argonne National Laboratory, Ford Motor Company, Stellantis, Johnson Controls, AVL Powertrain and the Illinois Institute of Technology.

SAN DIEGO, Feb. 17, 2022 — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable technology for electric vehicle (EV) charging, outdoor media and energy security, today announced that the City of Los Angeles StreetsLA Division held an event demonstrating its new plug-in hybrid street sweepers and EV ARC™ sustainable EV charging systems at the StreetsLA North Hollywood Depot. A ribbon cutting ceremony was held February 15, 2022 to inaugurate the City’s Center for Green Innovation. Beam CEO Desmond Wheatley was present alongside Mayor Garcetti, Congressman Cardenas and City officials where the EV ARC™ powered the new plug-in hybrid street sweepers.

The EV ARC™ systems support LA’s Green New Deal that targets 100% net zero by 2050. Each EV ARC™ system generates and stores its own clean electricity and delivers that electricity to power City fleet vehicles day or night, and during inclement weather and power outages. The optional Emergency Power Panel can provide vital power to first responders in an emergency or grid outages, adding to the City’s energy resiliency and disaster preparedness. The charging system is transportable and can be relocated as City charging patterns emerge and change.

Speaking on the EV ARC™ system’s ability to continue to deliver EV charging and emergency power during a disaster, Los Angeles Mayor Eric Garcetti said, “If God forbid, during an earthquake or something our power lines go down, we can continue to be there for our City and deliver what our City needs.”

“We need to take advantage of our incredible natural resource: the sun to charge our vehicles. Los Angeles is the perfect place for this. The Beam Solar Charging Canopy, right to my left over there, just standing under it I felt supercharged,” said Councilmember Mitchell Farrell. “This does not require an infrastructure to build out as the Mayor just said, and we need to purchase many more. The equipment can also be easily transported to other locations. So this is efficient in terms of both costs and practicality. In the event of a power outage, the battery can be used to power communications equipment, as well other tools needed to respond to an emergency.”

EV ARC™ systems will be deployed in Los Angeles StreetsLA locations with zero electrical upgrade costs, zero construction costs, and no disruption to city operations that can occur with construction projects, saving the City budget and downtime.

The City of Los Angeles’ Green New Deal strives to be carbon neutral by 2045 and 100% net zero by 2050. The plan increases the percentage of zero emission vehicles in the City to 25% by 2025 and 100% by 2050. SAN DIEGO, Feb. 15, 2022 — Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable technology for electric vehicle (EV) charging, outdoor media and energy security, announced that the City of Lompoc in California has deployed two EV ARC™ solar-powered EV charging systems available for public use. The systems were partially funded by the Santa Barbara County Air Pollution Control District’s Clean Air Grants for Infrastructure program and were purchased through the California Contract #1-18-61-16 which simplifies the procurement process and ensures best pricing.

The City’s EV ARC™ systems are located at the Lompoc Valley Medical Center (LVMC) parking lot, located at 1515 East Ocean Ave, and fit in a standard parking space without reducing available parking. Each system has two charging plugs to provide public access to charge up to four EVs. Each EV ARC™ system generates and stores its own clean electricity and delivers that electricity to power EVs, day or night, and during inclement weather and power outages. The transportable but permanent units include the Emergency Power Panel option for first responder use during grid outages and shutdowns.

“By offering high-tech, off-grid solutions for electric vehicle charging like the EV ARC, cities like Lompoc can help minimize our impact on the electric grid,” said Lompoc Mayor Jenelle Osborne. “I hope we see more cities and communities begin to adopt similar clean, renewable energy technologies in the years to come.”

Requiring no connection to the utility grid, Beam Global products eliminate disruptive construction projects, costly electric circuit upgrades and utility charges to deliver significant long-term savings to city budgets. Because there is no grid connection, EV charging systems are rapidly deployed, readily relocated and can be placed in locations where they are needed most.

Project Vesta aims to revolutionize the fight against wildfires by integrating air and ground technologies in a live fire mitigation experiment

 

 

 

SAN DIEGO, Feb. 09, 2022 – Beam Global, (Nasdaq: BEEM, BEEMW), the leading provider of innovative sustainable technology for electric vehicle (EV) charging, outdoor media and energy security, announced that Project Vesta, an unmanned fire control prototype that combines state-of-the art technology and Commercial Off The Shelf (COTS) equipment has selected the EV ARC™ off-grid solar-powered EV charging and emergency power system to provide a critical component of an innovative fire mitigation system that networks autonomous air and ground vehicles, solar charging capabilities, fire response equipment and communications. The Project Vesta goal is persistent fire surveillance and analytics capabilities enabled by edge computing and rapid interoperability.

The event will be hosted February 14-18, 2022 by the Joint Interagency Field Experimentation (JIFX) 22-2 at Camp Roberts, CA. The organizations spearheading Project Vesta are NavalX SoCal Tech Bridge as part of the U.S. Marine Corps, JIFX as part of the Naval Post Graduate School (NPS) in Monterrey, TESIAC with their Infrastructure as a Service (IaaS) offering and CANA Advisors. Public Private Partnerships (P3) demonstrate how collaboration between government agencies and private sector companies can target large-scale projects and problems to drive solutions faster and more effectively than when approached in silos.

Sometimes, I read an article that makes my jaw drop in amazement. Not in wonder nor in awe, but simply in disbelief about our human nature.  I do have an expressive face and my jaw has dropped often, especially in these last two years.  In this case, I have read an article in this Sunday LA Times titled “Rich Town Wants a Big Cat as a Buffer”. LA Times online, has it under the title as posted on ParkNews.biz: Feb 7, 2022 – Wealthy town has an answer against building affordable housing: Mountain lions

“Last week, officials in the enclave of 5,500 people announced that all of Woodside was exempt from a new state housing law that allows for duplex development on single-family home lots. The reason? The entire town is habitat for potentially endangered mountain lions. …”

“The new state law, Senate Bill 9, generally allows property owners of single-family parcels to build duplexes and, in some cases, fourplexes on their land. But lawmakers gave local governments discretion to add parking requirements or size limitations, among other restrictions.” …

“We love animals,” Woodside Mayor Dick Brown told The Almanac local newspaper, which first reported the town’s decision. “Every house that’s built is one more acre taken away from [mountain lions’] habitat. After I picked my jaw off the floor, I thought oh well, it is a Year of a Tiger after all.  So along with the cat theme, mountain lion preservation works better than any sort of parking requirements or restrictions, or honesty.  Apropos of the new Chinese Year: Do LA Rams even have a chance when they go against those ferocious Cats, Cincinnati Bengals? And there is no Chinese Zodiac sign for a sheep except in the mirror.  Either way, if you are attending the Super Bowl it looks like parking will be costly. Yes, ladies and gents, the world is upside down.  Nevertheless, on the upside, we have our PIE 2022 in Reno, NV.  Marcy Sparrow is a visionary to have picked up this gem of small American town, as a location for our conference and expo.  Thank you Marcy!

State and local government agency purchases of EV ARC™ sustainable EV charging systems through DGS in 2021 increased by 317% over the prior year.

Increased EV charging infrastructure spending in California, and other states and at the federal level are contributing to a rapid increase in the electrification of transportation. With a record number of new electric vehicles in the light-, medium- and heavy-duty categories coming to market in 2022, the need for rapidly deployed EV charging infrastructure has never been higher. California Governor Gavin Newsom presented a $286.4 billion budget proposal, dubbed the “California Blueprint,” this month. California also became the first state to commit to effectively banning sales of new, internal combustion engine or gas-powered vehicles by 2035. Metro Supply Chain releases new white paper: “Driving fleet electrification forward: a guide to zero emission last mile delivery” to help businesses lessen their carbon footprint

 

 

TORONTO, Jan. 24, 2022  — Today, Metro Supply Chain released a white paper, “Driving fleet electrification forward: A guide to zero emission last-mile delivery,” which outlines both the business and environmental benefits to companies from adopting electric vehicles (EVs). The white paper details Metro Supply Chain’s ongoing journey to transitioning its last-mile delivery fleet to zero emission, while providing businesses with a roadmap they can use to build their own electrification strategies.

“Metro Supply Chain is committed to lessening the impact of our supply chain’s emissions and support our customers in reducing their own carbon footprint through electric delivery, and we’re investing in the trucks and infrastructure to get us there,” explains John Fahidy, Vice-President of Transportation Solutions at Metro Supply Chain and one of three authors of the white paper. “Our hope is this white paper will offer readers a better understanding of the ways in which fleet electrification can not only benefit their businesses, but also their customers, employees and investors, our country and, most importantly, our climate.”

While the climate crisis adds an urgency to EV transition, fleet electrification is still a process. CES 2022 – HERE Technologies, the leading location data and technology platform, has partnered globally with APCOA and Propark Mobility to add over 400 indoor parking garages to its indoor map. Coverage expansion has started in North America with Propark Mobility, one of the largest privately-owned parking companies in North America.

The indoor maps from HERE include key elements of parking garages – individual parking spaces, lanes, ramps and pedestrian walkways. HERE provides integrated routing for vehicles and pedestrians, with parking garage entrances and exits seamlessly connected to the HERE outdoor street map. This enables end-to-end routing experiences that go beyond the curbside and opens new possibilities for Automated Valet Parking (AVP) experiences. Additionally, EV drivers will be able to identify parking spaces on the maps where they can charge their vehicles for maximum convenience.
