TagMaster, a leading supplier of advanced sensor systems for Smart Cities within Traffic and Rail, strengthens its UK organization – TagMaster UK – by appointing Adrian Worgan as Sales Director and Joseph McManus as Sales Manager ANPR products.

Adrian will manage the sales team in UK and will cooperate closely with the sales and marketing team in Sweden. He will increase the group’s focus on strategic applications areas like Parking/Access and Traffic Management/Infomobility.

Industry veteran Waldemar Batistella brings over 30 years of experience to TagMaster NA’s executive team

The TagMaster Nominating committee for the AGM in April 2020 has been confirmed.

 

Gert Sviberg, the company’s biggest shareholder, will be its chairman. Further members are Tomas Brunberg as the third biggest shareholder and Jean Francois Paumelle representing Eiffel Investment Group being the second biggest shareholder together with Marie-Louise Gefwert representing the smaller share holders and Rolf Norberg, chairman of the company.

The Nominating committee has also decided to co-opt Didrik Hamilton being the fourth biggest shareholder. A first meeting has been held December 12 and the Nominating committee is planning for one or two more meetings before the AGM planned for April 29, 2020.

TagMaster receives order for delivery of RFID systems to toll stations in India

Stockholm, Sweden 4 December 2019

 

TagMaster, a leading supplier of advanced sensor systems for Smart Cities within Traffic and Rail, has received an order for delivery of 340 RFID systems for road toll projects in India. The order is worth approximately SEK 3 million and delivery will take place during the fourth quarter this year.

 

 

The expansion of the road network in India to cope with the difficult traffic situation in the country is pervasive. The Indian government prioritizes infrastructure investments and tolls are an important part of financing the expansion of the road network.

TagMaster is, since eight years, one of the main suppliers for Indian toll stations. The current order concerns the delivery of a total of 340 RFID systems to a large number of multi-lane toll stations. The stations are an important part of the process of making the transport system in India more efficient.

“The order shows that our products and technology are at the forefront and more orders in India are to be expected in 2020. It also gives us the conditions to continue investing in Tolling & Security, which is a priority application area for us”, said Jonas Svensson, CEO, TagMaster.

Deliveries of the RFID systems are made during the fourth quarter of this year and the order is worth approximately SEK 3 million.

TagMaster, a leading supplier of advanced sensor systems for Smart Cities within Traffic and Rail, has been granted a patent in the USA for a software solution for combining information from a number of antennas in electronic toll solutions and thereby increasing the efficiency of the system.

 

The patent, which has number 10.438.482 and has been issued by the United States Patent and Trademark Office, describes a method for using received signals from a plurality of separate antennas in a multilane installation. By combining data can the specific lane of a particular vehicle be determined.

Determination of lanes is fundamental to electronic toll solutions and the now patented innovation provides a very cost effective and accurate solution. This is of particular importance in the difficult environment of multi-path reflections when using for instance UHF RFID for road tolling.

TagMaster now has collaboration with the three largest integrators in the German market as a subcontractor of RFID sensors for access control solutions.

Stockholm, July 11, 2019 – TagMaster, the leading supplier of advanced sensor systems for Smart Cities within Traffic and Rail, has, through its subsdiary Balogh SA, received an order for an American metro project.

 

Balogh is one of the real pioneers in the RFID technology and was founded in 1958. Balogh today has offices for development and production in Paris, in Toulouse and in Normandie and works within the two RFID segments Rail and Access/Security (Traffic).

The order comprises the new product range of MOS200/OMS201 (SIL4) products that have been finalized since TagMaster acquire the company. SIL4 (Safety Integrity Level) is the highest level of risk reduction that can be obtained through a Safety Instrumented Function/System.

Prior to this order Balogh have also begin deliveries of this product range to another American project and recently to a European project. This second American order gives a strong reference for future orders. The products will be delivered during first half of 2020 and the total order value is approximately € 300 000.The customer is a one of the major global actors in signaling systems.

The acquisition was previously announced on May 3, 2019. The purchase price was USD 16 million on a debt and cash free basis with adjustment of net working capital as of the closing date against normalized net working capital.

Sensys Networks, established 2003, is a leading provider of advanced data solutions for Intelligent Transportation Systems (ITS). Sensys Networks offers a comprehensive wireless platform, addressing today’s most challenging traffic and parking data needs. This end-to-end solution, comprised of sensors, edge gateways and highly sophisticated data management software (SNAPS), has been deployed in hundreds of cities globally, addressing the growing need for data driven traffic and parking solutions.

Sensys Networks is headquartered in Berkeley, California, and is led by industry veterans who bring years of experience in wireless communications, carrier grade infrastructure, enterprise software and transportation management for the public sector.

Sales for 2018 was approx. USD 15 million with an EBITDA of approx. – USD 1.7 million. After cost reductions, implemented during January 2019, the EBITDA for Sensys Networks 2019 is expected to be positive.

Background and acquisition rationale

The past year confirms the validity of the TagMaster’s chosen strategy of focusing on growth within the Traffic Solutions business segment. While Rail projects demonstrate high profitability, the major growth is in Traffic Solutions. Cities and other densely-populated areas worldwide face challenges of rapid growth, rising populations, climate change, declining air quality and forced urban development, which places new demands on transportation systems. Meeting these challenges requires Smart City solutions that streamline traffic and transportation systems, making day-to-day life simpler, safer and more efficient.

Sensys Networks’ products are deployed as part of several ITS applications including Traffic Signal Control, Traveler Information Systems, Tolling and Road Pricing, Safety and Enforcement. The ITS market is estimated to be $66B globally by 2024[1], with growth driven largely by the increasing global demand for Smart City solutions.

The combined company

Both Sensys Networks and TagMaster are leading technology providers in the Smart Cities sector, selling direct and through channel partners to end users such as authorities and road operators.

The acquisition provides the companies with an enhanced capacity for creating future products and solutions in the US and Europe, as well as a platform to deliver next-generation infrastructure to smartphone (“I2X”) applications for connected travelers and autonomous vehicles. I2X has significant market potential from agencies, OEMs, fleets and other smartphone enabled travelers.

The combined entity will have enhanced scale and reach with 2018 proforma revenue and EBITDA of SEK 326 million and SEK -2.7 million respectively. The EBITDA for 2019 is expected to be positive.

Financing

The acquisition was funded through a combination of debt facilities, an equity issue with preferential rights to existing shareholders and a directed equity issue with deviation from existing shareholders preferential rights. The debt facility amounted to USD 5,7 million and the remaining part of the purchase price was financed through the equity issues of approx. SEK 130 million.

Approx. SEK 55 million in new debt financing has been secured. The equity issue with preferential rights to existing shareholders and the directed equity issue are expected to amount to approx. SEK 130 million. A smaller part of the financing will be used as working capital post acquisition.

The board of directors intends to decide upon the equity share issues, with and without deviation from the existing shareholders preferential rights, as soon as possible and in connection with that such resolutions will be publicly disclosed.

The acquisition is conditional upon financing and customary closing conditions and is expected to close during the second quarter of 2019.

TagMaster receives four new orders for metro solutions

TagMaster, the leading supplier of advanced sensor systems for Smart Cities within Traffic and Rail solutions has received orders for four CBTC (communications-based train control) projects in Asia and South East Asia.

 

 

The orders comprises products used for train control i.e. the exact position of a train is known more accurately than with the traditional signaling systems. Using CBTC result in a more efficient and safe way to manage the metro traffic. The customer is an existing client, big global actor in signaling systems, and two of the projects is for the Chinese market.

These products are part of the standard assortment within TagMaster, but as often are adapted (NRE) for different projects and different customers. The total order value is around € 1 million and deliveries will take place during 2019 and 2020.
